Terms of Service

1. Introduction

Welcome to MindRex (“MindRex,” “we,” “our,” or “us”). MindRex is a cognitive technology partner that provides custom software development services. These Terms of Service (“Terms”) govern your access to, and use of our software development services, products, platforms, and consultation offerings (collectively, the “Services”). After reading this, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, as well as our Privacy Policy. If you do not accept these Terms, you must refrain from using our Services.

2. Eligibility and Acceptance

All our services are designed for businesses, organizations, and individuals who possess the full legal capacity to enter into binding contractual agreements. When you access, subscribe to, or otherwise engage with MindRex, you explicitly confirm that you meet all eligibility requirements under the laws of your jurisdiction. This includes, but is not limited to, being at least eighteen (18) years of age or holding proper authorization to act on behalf of a company, partnership, institution, or other recognized legal entity. If you represent an entity, you affirm that you have the authority to bind that entity to these Terms, and that your acceptance is made both in your individual capacity and on behalf of the entity you represent.

3. Description of Services

MindRex delivers end-to-end software development, AI-driven systems design, enterprise platform engineering, and consulting tailored to business-critical needs. Our portfolio ranges from custom web and mobile applications to intelligent automation frameworks, machine learning pipelines, and cognitive systems designed to adapt, learn, and evolve with time.

Every engagement is guided by a philosophy: execution without compromise. Unlike patchwork solutions, MindRex systems are not meant to be fragile extensions of borrowed stacks; they are sovereign builds engineered to endure. We create technology that reduces lag, eliminates inefficiency, and empowers organizations to control complexity instead of being controlled by it.

4. License and Intellectual Property

MindRex retains ownership of all intellectual property rights in its methodologies, frameworks, tools, and pre-built libraries used during development. Upon project completion and full payment, clients will be granted a non-exclusive, non-transferable, and royalty-free license to use the custom-built software solutions as agreed in the Statement of Work or project contract. Clients may not reverse-engineer, replicate, or resell proprietary MindRex frameworks without written consent. Any unauthorized use, duplication, or redistribution of our technology constitutes a breach of these Terms and may result in legal enforcement.

5. Client Obligations

When working with MindRex, you agree to provide accurate information, timely feedback, and the necessary access to resources that enable us to deliver as promised. Software development is a partnership: delays in communication, misrepresentation of needs, or failure to provide technical dependencies may directly impact project timelines and outcomes.

You must not use any product or solution developed by MindRex for unlawful, harmful, or malicious purposes. This includes but is not limited to developing exploitative technologies, engaging in unauthorized surveillance, violating privacy rights, or breaching regulatory requirements in your jurisdiction. We reserve the right to suspend or terminate Services if we reasonably believe that misuse has occurred.

6. Third-Party Components

MindRex may incorporate open-source or third-party components in the delivered solution when doing so creates technical or economic value. We will disclose the third-party components and their licenses in project documentation, and advise on any license obligations that affect distribution, modification, or deployment. Clients are responsible for any special compliance obligations arising from their particular use or redistribution; MindRex will not be liable for client non-compliance with third-party license terms if we disclosed those components in writing prior to delivery. If a client requires a strictly closed-source or license-free deliverable, this must be stated and budgeted for in the SOW.

7. Data and Privacy

We may collect and process certain client data, including but not limited to project files, technical requirements, usage metrics, and contact information. All data will be handled in accordance with our Privacy Policy and applicable data protection laws. Clients are responsible for ensuring that any data they provide for development purposes does not violate intellectual property rights, confidentiality obligations, or data protection laws. MindRex assumes no liability for damages arising from client-provided data that fails to meet these standards.

8. Payment Terms

All project fees, retainers, and subscription-based services must be paid in accordance with the agreements or invoices issued by MindRex. Unless otherwise stated, payments are due upon receipt and must be completed through the approved payment methods. Failure to settle payments in a timely manner may result in suspension of ongoing work, delays in delivery, or termination of Services. Subscription-based offerings (such as hosted platforms or ongoing support retainers) automatically renew unless cancelled at least thirty (30) days prior to the renewal date.

9. Third-Party Services and Dependencies

MindRex solutions may integrate with third-party platforms, APIs, or infrastructure components. While we exercise diligence in selecting and securing these integrations, MindRex does not control or guarantee the performance, reliability, or availability of third-party services. Clients assume responsibility for complying with the terms of any third-party tools used in conjunction with MindRex systems.

10. Limitation of Liability

To the fullest extent permitted by law, we disclaim liability for indirect, incidental, or consequential damages arising from the use of or inability to use our Services. All of our solutions are engineered with foresight and tested for resilience, but we cannot guarantee that every system will be error-free, invulnerable, or immune from external failures. Clients acknowledge that software inherently carries risks, and liability in any claim will be strictly limited to the fees paid for the specific services in question.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which MindRex is incorporated, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved through good-faith negotiations. If resolution cannot be reached, disputes will be subject to binding arbitration or adjudication in the competent courts of our governing jurisdiction.
